These Terms of Service ("Terms") govern your use of the RATIONALWRITE INC website (the "Site") and the purchase and use of our products and services (collectively, the "Services"). By accessing the Site, submitting an order, or using any of our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms, and "you" will refer to that entity.
Ordering and Payment Terms:
All orders for vehicles or services are subject to acceptance by RATIONALWRITE INC. We reserve the right to refuse or cancel any order at our sole discretion, including orders for products that are no longer available, pricing errors, or suspected fraudulent activity. When you place an order, you agree to provide accurate, complete, and current information for all order and payment details. Payment terms are as specified in your order agreement, with standard terms requiring a 20% deposit upon order confirmation and the remaining balance due prior to delivery. All prices are quoted in United States Dollars unless otherwise specified, and do not include applicable taxes, transportation fees, or customs duties, which are the sole responsibility of the buyer.
Delivery and Title Transfer:
Delivery timelines are estimates only and are not guaranteed, though we make reasonable efforts to meet all quoted delivery dates. Risk of loss or damage to vehicles passes to the buyer upon delivery to the designated transport carrier or upon pickup from our facility, whichever occurs first. Title to vehicles passes to the buyer only after we have received full payment of all amounts due, including all fees, taxes, and transportation costs. We are responsible for providing all necessary documentation to transfer clear title to the buyer, free of all liens or encumbrances, within 30 days of full payment receipt.
Warranties and Disclaimers:
New vehicles sold by RATIONALWRITE INC are covered by the applicable manufacturer's warranty, as specified by the vehicle manufacturer. Certified pre-owned vehicles are covered by the limited warranty specified in the vehicle listing, which is in addition to any remaining manufacturer warranty. Heavy duty, recreational, and specialty vehicles are covered by the warranty terms provided by their respective manufacturers or as explicitly stated in your order agreement. EXCEPT FOR THE WARRANTIES EXPLICITLY STATED IN THESE TERMS OR YOUR ORDER AGREEMENT, RATIONALWRITE INC MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, WHICH ARE HEREBY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.
Limitation of Liability:
IN NO EVENT SHALL RATIONALWRITE INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES OR PURCHASE OF OUR PRODUCTS, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF REVENUE, OR LOSS OF DATA, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT OR SERVICE THAT GAVE RISE TO THE CLAIM.
Termination:
We reserve the right to suspend or terminate your access to our Services at any time, without prior notice, for any reason, including if we determine that you have violated these Terms. Upon termination, all outstanding payment obligations shall become immediately due, and any rights granted to you under these Terms shall cease. Sections related to payment obligations, warranties, limitation of liability, and dispute resolution shall survive any termination of these Terms.
Governing Law and Dispute Resolution:
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law principles. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in Marion County, Indiana, in accordance with the rules of the American Arbitration Association, with the prevailing party entitled to recover its reasonable attorneys' fees and costs. The parties agree that any arbitration shall be conducted on an individual basis, and not as part of a class action or representative proceeding.
